Article of Association of China Association for International Friendly Contact

　　Article 1 The organization name is China Association for International Friendly Contact, or “CAIFC” for short.

　　Article 2 The CAIFC is a national voluntary, non-profit social organization founded by Chinese celebrities and social activists.

　　Article 3 With the aim of “promoting international people-to-people exchanges and cooperation, and enhancing world peace and development”, the CAIFC strives to carry out multi-level foreign non-governmental friendly exchanges in different fields through multiple channels.

　　The CAIFC upholds the overall leadership by the Communist Party of China. In accordance with the Party Constitution, it establishes a Party’s organization to carry out Party activities and ensure their smooth operation.It also abides by the Constitution, laws, regulations and national policies of the People’s Republic of China, practices core socialist values and respects social morality.

　　Article 4The CAIFCaccepts the guidance and supervision from its competent authority, the Ministry of Foreign Affairs, and from the society registration management authority, the Ministry of Civil Affairs.

　　Article 5 The domicile of the CAIFC is in Beijing.
 

Chapter II Scope of Business
 

　　Article 6 The CAIFC’s scope of business is as follows:

　　1. Receiving foreign friendly organizations and individuals, organizing delegations to visit foreign countries for exchange purposes,promoting foreign non-governmental friendly exchanges, and enhancing mutual understanding and friendship;

　　2. Conducting research onmajor international studies, communicating withdomestic and foreign research institutions, experts and scholars, holding international forums, strategic dialogues and seminars, and publishing academic journalsin accordance with the relevant provisions;

　　3. Promoting international cultural exchanges, organizing thematic visits, cultural exhibitions, theatrical performances, sports competitions and other activities;

　　4. Promoting pragmatic economic, scientific and educational cooperation between China and foreign countries, and creating favorable conditions for the expansion of national strategic interest;

　　5. Carrying out other international non-governmental friendly exchanges.
 

Chapter III Membership
 

　　Article 7 The CAIFC recruits individual members.

　　Article 8 Members have to meet the following conditions:

　　1. Upholding and abide by this Articles of Association;

　　2. Applying for membership voluntarily;

　　3. Supporting and cooperating with the CAIFC;

　　4. Being influential in the CAIFC’sscope of business.

　　Article 9Admission procedures:

　　1. Submitting application and required materials;

　　2. The Council or the Standing Council discussing about the application;

　　3. The Council or its authorized agency issuing the membership certificate.

　　Article 10 Rights of members:

　　1. The rights to elect, to be elected and to vote;

　　2. Taking part in foreign friendly exchanges in political, diplomatic, security, academic, cultural and economic sectors or across these sectors;

　　3. Enjoying the priority to receivethe CAIFC’sservices;

　　4. The rights to criticize, advise and supervise the work of the CAIFC;

　　5. Voluntary to join or withdraw from the CAIFC.

　　Article 11 Obligations of members:

　　1. Enforcing resolutions of the CAIFC;

　　2. Defending the legitimate rights and interests of the CAIFC;

　　3. Supporting and cooperating with the CAIFC within their respective areas of business;

　　4. Completing other tasks assigned by the CAIFC;

　　5. Payingmembership due as required.

　　Article 12 Members who intend to withdraw should notify the CAIFC in writing and return the membership certificate.A member who fails to pay the membership due or who refuses to take part in the activities of CAIFC is considered withdrawing from the CAIFC.

　　Article 13 Members must abide by the Constitution, laws and regulations, and are strictly prohibited from being engaged in business out of the CAIFC’s business scope or evenillegal activities in the name of the CAIFC. Members who violate discipline and laws will be deprived of membership automatically; members who seriously violate this Articles of Association will be dismissed upon the approval of the Council or the Standing Council through vote.
 

Chapter IVOrganizational Structure and Election and Dismissal of Leaders
 

　　Article 14The highest authority of the CAIFC is the Member Congress. It has the following functions:

　　1. Developing and amending the Articles of Association;

　　2. Reviewing the work reports and other reports of the previous Council;

　　3. Electing and dismissing council members;

　　4. Deciding on termination matters;

　　5. Developing and modifyingmembership dues;

　　6. Deciding on other important matters.

　　Article 15 TheMember Congress must be held with more than 2/3 members present and its resolution must enter into force with more than half of the representatives present voting in favor.

　　Article 16The Member Congress is held once every five years. If any Member Congress needs to be held in advance or to be postponed due to special reasons, a report should be submitted to the competent authority for review and approval from the society registration management authority should be obtained; however, the change of term of office should not be delayed for more than one year at most.

　　Article 17The Council is the executing agency of the Member Congress, manages the daily work of CAIFC while the Member Congress is closed, and is responsible for the Member Congress.

　　Article 18The term of the Council is five years and it should convene a meetingat least once a year; under special circumstances, the meeting may also be held by means of communication.

　　Article 19 TheCouncil meetingmust be held with more than 2/3 council members present and its resolution must enter into force with more than 2/3 of the council members present voting in favor.

　　Article 20The Council assumes the following primary responsibilities:

　　1. Enforcing resolutions of the Member Congress;

　　2. Electing and dismissing the chairman, the vice chairman and the secretary general; electing the StandingCouncil;

　　3. Making preparations for the convening of Member Congress;

　　4. Reporting work and financial status to the Member Congress;

　　5. Deciding on the recruitment and dismissal of members;

　　6. Decidingon the establishment of offices, branches, representative offices and entities;

　　7. Deciding the appointment of deputy secretary general and persons in charge of the agencies;

　　8. Leading the business departments of the CAIFC;

　　9. Developing the internal management system;

　　10. Deciding on the engagement ofconsultant candidates;

　　11. Deciding on other important matters.

　　Article 21The CAIFC has a standing council. The Standing Council is elected by the Council to exercise its competence when the Councilis not in session and is responsible for the Council (the number of standing council members should not be over 1/3 of the number of council members).

　　Article 22 TheStanding Council meetingmust be held with more than 2/3 standing council members present and its resolution must enter into force with more than 2/3 of the standing council members present voting in favor.

　　Article 23TheStanding Council should convene a meetingat least once a year; under special circumstances, the meeting may also be held by means of communication.

　　Article 24 The chairman, the vice chairmanand the secretary general must meet the following conditions:

　　1. Adhering to the line, principles and policies of the CPC and having good political quality;

　　2. Being greatly influential in their respective specialties;

　　3. Not older than 70 years at most,and the secretary general must be on a full-time basis;

　　4. Healthy, able to work normally;

　　5. Neverreceiving any criminal punishment that depriving political rights;

　　6. Having full capacity for civil conduct.

　　Article 25 The chairman, the vice chairmanand the secretary general all serve for a term of five years and serve no more than two consecutive terms. If the service term has to be postponed due to special reasons, approval from the Member Congress must be obtain upon vote and the application must be reported to the competent authority for review and approved by the society registration management authority.

　　Article 26 The chairman is the legal representative of the CAIFC and signs important documents on behalf of the CAIFC. Under special circumstances, the vice chairman or the secretary general may serve as the legal representative under the commission of the chairman and with consent of the Council provided that the commission is reviewed by the competent authority and approved by the society registration management authority.

　　The legal representative of the CAIFCmust not serve as the legal representative of any other organization concurrently.

　　Article 27 The chairman of the CAIFC should perform the following duties:

　　1. Convening and presiding over the Council or the Standing Council;

　　2. Inspecting the implementation of resolutions made at the Member Congress, the Council and the Standing Council.

　　Article 28 The secretary general of the CAIFC should perform the following duties:

　　1.Supervising the work of the business departments, organizing and implementing annual work plans, and managing internal coordination;

　　2. Nominating the vice secretary general and persons in charge of the business departments to the Council or the Standing Council for final decision;

　　3. Deciding on the engagement of full-time staff in the business departments;

　　4. Dealing with other daily affairs.
 

Chapter V Asset Management and Use Principles
 

　　Article 29 The sources of funding are:

　　1. Membership dues;

　　2. Donations;

　　3. Government funding;

　　4. Other lawful incomes.

　　Article 30 The CAIFC charges membership dues in accordance with relevant state regulations.

　　Article 31 The fund of the CAIFCmust be used in the scope of business and development of the CAIFC and must not be distributed among members. The expenditures include:

　　1. Reception ofvisiting organizations and individuals and organization of delegations to visit foreign countries;

　　2. Convening meetings and organizing activities;

　　3. Preparing and printing publications, documents and publicity materials;

　　4. Daily office expenses and compensations for staff of the business departments;

　　5. Other expenses arising from the work of the CAIFC.

　　Article 32 The CAIFCestablishes a strict financial management system and ensures that the accounting information is legitimate, true, accurate and complete.

　　Article 33 The CAIFC has a qualified accountant. The accountant should not serve as a cashier concurrently. The accountant must conduct accounting and accounting supervision. The accountant must go through the handing-over procedures with the new accountant when he/she is transferred or leaves.

　　Article34 The asset management of the CAIFCmust follow the financial management system required by the state and accepts the supervision of the Member Congress and the financial authority. Assets coming from state funding or social donations or funding must be subject to the supervision of the auditing authority and the information about these assets should be open to the public in an appropriate manner.

　　Article 35 The CAIFC must accept financial auditing before change of the term of office or change of the legal representative.

　　Article 36 The assets of the CAIFC must not be embezzled, divided or misappropriated by any unit or individual.

　　Article 37 The salaries, insurance and welfare benefits for full-time staff of the CAIFC should be paid with reference to the national standards for public institutions.
 

Chapter VI Procedures for Amending the Articles of Association
 

　　Article 38 Theamendment of this Articles of Association must be approved by the Council through voting and reported to the Member Congress for consideration.

　　Article 39 Theamendment of this Articles of Association will come into force after it is reviewed by the competent authority and approved by the society registration management authority within 15 days after being approved by the Member Congress.
 

Chapter VII Termination Procedures and Property Disposal after Termination
 

　　Article 40 The termination of the CAIFC after it has fulfilled its purpose or due to voluntary dissolution, division or merger should be proposed by the Council or the Standing Council.

　　Article 41 The proposal to terminate the CAIFC must be voted by the Member Congress and reported to the competent authority for approval.

　　Article 42 Prior to the termination of the CAIFC, a liquidation organization must be established under the guidance of the competent authority and the appropriate body to clear credits and debts and deal with matters concerning the termination. During the liquidation, activities other than liquidation should not be carried out.

　　Article 43 The CAIFC will be terminated after the cancellation procedures are processes with the society registration authority.

　　Article 44 The remaining properties after the termination of the CAIFC should be used to develop undertakings associated with the purpose of the CAIFC under the supervision of the competent authority and the society registration management authority and in accordance with relevant state regulations.
 

Chapter VIII Logo
 

　　Article 45 The logo of CAIFC is composed of patterns of Earth, peace dove and olive branch and the abbreviation “CAIFC”. It can be put up in offices, venues and meeting rooms. It can be printed on publications and souvenirs or worn as a badge.
 

Chapter IX Supplementary Provisions
 

　　Article 46 This Articles of Association was approved by the Fifth Member Congress through voting on May 31, 2016.

　　Article 47 The right to interpret this Articles of Association lies in the Council.

　　Article 48 This Articles of Association will come into force as of the date when it is approved by the society registration management authority.
